1. About These Terms

These Terms & Conditions apply to the use of the U Signs website and to quotations, orders, products and services supplied by U Sign Pty Ltd, trading as U Signs (“U Signs”, “we”, “us” or “our”).

By placing an order, accepting a quotation, approving artwork, making a payment or instructing us to begin work, you agree to these Terms & Conditions together with any quotation, order confirmation, approved artwork proof and project-specific terms provided to you.

If a project-specific written term conflicts with these general terms, the project-specific written term will apply to the extent of the inconsistency.

Nothing in these terms excludes, restricts or modifies any right, consumer guarantee or remedy that cannot lawfully be excluded, restricted or modified under Australian law.

2. Customer Authority

You must be at least 18 years old and legally capable of entering into a contract.

If you place an order on behalf of a company, organisation or another person, you confirm that you are authorised to bind that party to the order and these terms.

3. Quotations

Quotations are based on the information available when they are prepared, including supplied dimensions, artwork, photographs, site details, quantities, materials and installation requirements.

A quotation is valid for the period stated in the quotation. If no validity period is stated, it will generally remain valid for 30 days, unless withdrawn before acceptance due to an obvious error or a material change in availability or cost.

A quotation may be revised before acceptance where:

• The customer changes the scope, quantity, dimensions, materials or specifications.
• Supplied information is incomplete or inaccurate.
• A site inspection identifies additional access, safety or installation requirements.
• Artwork requires more preparation than reasonably anticipated.
• Material, freight or third-party costs materially change before the quotation is accepted.

We will explain any material revision and obtain approval before proceeding with the affected work.

4. Orders and Contract Formation

Submitting an online order, purchase order or acceptance of a quotation is an offer to purchase the specified products or services.

An order becomes binding when U Signs confirms acceptance in writing, receives the required payment and approvals, or begins work at the customer’s instruction, whichever occurs first.

We may decline an order before acceptance where the product is unavailable, the specifications are incomplete, the work cannot be safely or lawfully completed, the displayed price contains an obvious error or the order falls outside our production capability.

If we decline an order after receiving payment, we will refund the amount paid for the declined portion within a reasonable time.

5. Prices and GST

All prices are in Australian dollars.

Prices will include or exclude GST as clearly stated on the website, quotation, invoice or order confirmation. For sales where Australian law requires a GST-inclusive total price to be displayed, the applicable total price will be provided before the customer confirms the purchase.

Delivery, installation, permits, access equipment, electrical work, special packaging and other additional services are not included unless expressly listed.

Where an additional cost cannot reasonably be calculated until dimensions, location, artwork, access or another variable is confirmed, we will advise the customer and obtain approval before incurring that cost.

6. Payment

Payment requirements will be stated in the quotation, invoice or order confirmation. Depending on the project, we may require a deposit, progress payments or full payment before production, dispatch or installation.

U Signs may delay production, delivery or installation until required payments and approvals have been received.

The customer must notify us promptly if an invoice appears incorrect. Undisputed amounts remain payable in accordance with the agreed payment terms.

Where legally permitted, the customer may be responsible for reasonable costs incurred in recovering an overdue undisputed debt.

7. Customer-Supplied Information

The customer is responsible for providing accurate and complete:

• Dimensions, quantities and product selections.
• Names, wording, spelling and contact details.
• Artwork, logos, photographs and brand information.
• Delivery and billing addresses.
• Site, access, installation and safety information.
• Deadlines and project requirements.

U Signs is not responsible for loss or additional cost caused by inaccurate or incomplete information supplied by the customer or an unauthorised third party, except to the extent that U Signs caused or contributed to the problem.

8. Artwork Requirements

Customers should provide print-ready artwork wherever possible. Artwork requirements are explained on our Artwork Guidelines page.

Where supplied artwork is incomplete, unsuitable or requires adjustment, we may provide limited artwork assistance subject to availability and additional charges.

Design work outside the agreed scope, including additional concepts, logo recreation, extensive image editing or additional revisions, will be quoted separately.

9. Artwork Proofs and Approval

Where an artwork proof is provided, the customer must carefully check:

• Spelling, grammar and contact details.
• Dimensions, quantity and scale.
• Colours, layout and image placement.
• Logos, trademarks and supplied content.
• Product, material and finishing specifications.

Production will begin only after the required proof has been approved in writing.

Where the finished product accurately matches the customer-approved proof, U Signs is not responsible for errors already visible in that proof or contained in customer-supplied information.

Changes requested after approval may result in additional charges and revised production or installation dates.

10. Colour and Production Variations

Colours displayed on computer screens and mobile devices may differ from printed or manufactured colours. Colours may also vary between materials, printing processes, lighting conditions and production batches.

Where accurate colour matching is important, the customer should provide a Pantone reference or approved physical sample before artwork approval.

Reasonable industry tolerances may apply to colour, dimensions, cutting, fabrication, print position, finishing and material appearance.

This clause does not exclude any right where the finished product is significantly different from the approved proof, sample, description or agreed specifications.

11. Production Timeframes

Production and completion dates are estimates unless U Signs expressly confirms a fixed date in writing.

Timeframes may depend on artwork approval, payment, material availability, production capacity, site access, weather, third-party services and the customer providing required information.

We will take reasonable steps to meet agreed timeframes and will notify the customer of a material delay when reasonably practicable.

If a delay becomes unreasonable, the parties will work in good faith to agree on a revised timeframe or another remedy available under the contract and applicable law.

12. Changes and Variations

A customer-requested change to an accepted order must be approved by U Signs in writing.

We will advise the customer of any material effect on price, production, delivery or installation before proceeding with the change.

U Signs will not materially change an accepted order without the customer’s agreement, except where required for safety, legal compliance or because an agreed material or component is unavailable. In those circumstances, we will offer a reasonably comparable alternative or another appropriate option.

13. Cancellations

Cancellation requests must be made in writing as soon as possible.

If a cancellation is accepted before production begins, U Signs may deduct reasonable costs already incurred, including artwork preparation, administration, ordered materials and third-party charges.

Once artwork is approved, materials are ordered or production begins, custom work cannot normally be cancelled because of a change of mind.

This clause does not limit a cancellation right or remedy that applies under Australian law. Further details are contained in our Returns & Refunds Policy.

14. Delivery, Freight and Collection

Delivery and freight charges are calculated according to the product size, weight, packaging, destination and access requirements.

Delivery dates are estimates unless expressly confirmed in writing. U Signs will provide updated information if we become aware of a material delay.

The customer must provide an accurate address, contact number and relevant access instructions.

Additional charges may apply for redelivery, waiting time, tailgate service, forklift requirements, restricted access or other services not included in the original quotation.

Customers collecting an order must wait until U Signs confirms that the order is ready.

15. Title and Risk

Ownership of products remains with U Signs until all amounts due for those products have been paid in full, to the extent permitted by law.

Risk in the products passes to the customer when the products are delivered to the agreed address or collected by the customer or the customer’s authorised representative, subject to any rights that apply under the Australian Consumer Law.

16. Installation Services

Installation will be included only where expressly stated in the quotation or order confirmation.

The customer must provide safe, lawful and reasonable site access at the agreed time and must disclose relevant information about:

• Wall, fascia, roof and structural conditions.
• Electrical services and connection points.
• Concealed wiring, plumbing and other utilities.
• Asbestos, hazardous materials and site hazards.
• Access restrictions and operating hours.
• Induction, permit and safety requirements.
• Requirements for elevated work platforms, traffic control or lifting equipment.

Additional work caused by undisclosed or unexpected site conditions will be explained and quoted before proceeding where reasonably practicable.

U Signs may suspend installation where the site is unsafe, access is unavailable or proceeding would breach a legal or safety requirement.

17. Third-Party Installation

U Signs is not responsible for defective installation, damage or product failure caused by an installer separately engaged by the customer and not arranged or approved by U Signs.

This exclusion applies only to the extent that the third party’s work caused or contributed to the problem. It does not exclude responsibility for a product defect for which U Signs is legally responsible.

18. Permits and Approvals

The quotation will state whether U Signs is responsible for obtaining any council, landlord, centre-management, engineering, electrical or other approval.

Unless expressly included, the customer is responsible for identifying and obtaining approvals required for the project.

U Signs does not guarantee that an approval will be granted. If an application is refused or additional requirements are imposed, any resulting changes or additional work will be discussed with the customer.

19. Returns, Refunds and Consumer Guarantees

Products and services may come with consumer guarantees that cannot be excluded under the Australian Consumer Law.

Where there is a minor failure, U Signs may choose to repair, replace, re-supply or refund as permitted by law.

Where there is a major failure, the customer may be entitled to reject the product and choose a refund or replacement, cancel an affected service or seek another remedy available under law.

U Signs does not generally provide refunds for a change of mind, particularly for custom or personalised products.

20. Product Care, Misuse and Maintenance

Customers must use, store and maintain products in accordance with supplied instructions and their intended environment.

U Signs is not responsible for loss or damage caused by misuse, neglect, unauthorised modification, incorrect third-party installation, unsuitable storage, abnormal exposure or failure to follow reasonable care instructions, except to the extent that U Signs caused or contributed to the problem.

21. Intellectual Property and Supplied Content

The customer confirms that they own or have permission to use all logos, artwork, photographs, text, trademarks and other content supplied to U Signs.

The customer grants U Signs a licence to use and reproduce supplied content only to the extent reasonably necessary to quote, prepare artwork, manufacture, deliver and install the order.

The customer is responsible for a third-party intellectual-property claim to the extent that the claim results from content supplied without the required permission.

Unless otherwise agreed in writing, U Signs retains ownership of its pre-existing templates, production methods, working files, concepts and know-how. After full payment, the customer may use the finished product and approved final artwork for the purpose for which it was supplied.

22. Website Information

We take reasonable care to keep website descriptions, images, availability and prices accurate. Product photographs and illustrations are for general reference and may not show exact scale, colour, texture or finish.

If an obvious website error affects an order, we will notify the customer and offer the option of confirming the corrected order or cancelling the affected portion for a refund.

We may update website content and future prices without notice. A change will not alter an already accepted order unless the customer agrees or the change is required by law.

23. Acceptable Website Use

You must not use the website to:

• Engage in unlawful, fraudulent or misleading activity.
• Upload malicious code or interfere with website security.
• Attempt unauthorised access to accounts, systems or information.
• Infringe intellectual-property, privacy or other legal rights.
• Submit false, abusive or harmful content.

We may restrict access where reasonably necessary to protect the website, our customers or our legal interests.

24. Third-Party Websites and Services

Our website may contain links to third-party websites or use third-party payment, delivery, hosting or technology services.

U Signs does not control the content, availability, security or privacy practices of independently operated third-party websites.

This clause does not exclude responsibility that U Signs cannot lawfully exclude for a third-party service arranged as part of our contract with the customer.

25. Limitation of Liability Where Permitted

Nothing in these terms excludes liability that cannot lawfully be excluded.

To the extent permitted by law, U Signs is not liable for loss caused by:

• Incorrect information, artwork or measurements supplied by the customer.
• Customer misuse, neglect or unauthorised modification.
• Separate work performed by an unauthorised third party.
• A site condition or hazard that was not disclosed and could not reasonably have been identified.
• Events outside U Signs’ reasonable control, subject to our obligation to take reasonable steps to minimise the effect.

Where goods or services are not ordinarily acquired for personal, domestic or household use or consumption, and where it is fair, reasonable and legally permitted, U Signs’ liability for breach of an applicable consumer guarantee may be limited, at our option:

• For goods: to repair, replacement, supply of equivalent goods, or payment of the reasonable cost of repair or replacement.
• For services: to supplying the services again or payment of the reasonable cost of having them supplied again.

Any limitation applies only to the extent that it is lawful, fair and reasonable in the circumstances.

26. Events Outside Reasonable Control

Neither party is responsible for delay caused by an event outside its reasonable control, including severe weather, fire, flood, transport disruption, government restriction, utility failure, industrial action or unexpected material shortage.

The affected party must notify the other within a reasonable time and take reasonable steps to minimise the delay.

If the event prevents performance for an unreasonable period, either party may request cancellation of the affected work. The parties will agree on a fair adjustment for completed work, committed materials and any rights that apply under law.

27. Privacy

Personal information is handled in accordance with our Privacy Policy and applicable Australian privacy laws.

28. Complaints and Dispute Resolution

If a concern arises, the customer should contact U Signs promptly and provide relevant order details and supporting information.

Both parties agree to make reasonable efforts to resolve the matter in good faith.

If a dispute cannot be resolved directly, either party may seek assistance from NSW Fair Trading, the Australian Competition and Consumer Commission where appropriate, or another relevant dispute-resolution or legal service.

Nothing in this clause prevents either party from exercising an urgent legal right or seeking urgent court relief.

29. Changes to These Terms

We may update these Terms & Conditions for future website use and future orders.

The terms applying to an accepted order will not be materially changed without the customer’s agreement, except where a change is required by law.

30. General Terms

If part of these terms is invalid or unenforceable, that part will be read down or removed to the minimum extent necessary, and the remaining terms will continue to apply.

A failure or delay in enforcing a right does not automatically waive that right.

These terms, together with the accepted quotation, order confirmation, approved artwork and incorporated policies, form the agreement for the order.

These terms are governed by the laws of New South Wales, Australia. The parties submit to the courts and tribunals having jurisdiction in New South Wales, subject to any legal right to bring proceedings elsewhere.
